為充分發揮國有資產的使用效益,探索市場化辦學的運營管理模式,實現深圳海上運動基地暨航海運動學校(以下簡稱基地航校)海上運動學曆教育、培訓以及為市民提供海上運動服務等功能,經深圳市人民政府批准,深圳市大鵬新區管理委員會(以下簡稱大鵬新區管委會)委託深圳市土地房產交易中心(以下簡稱交易中心),定於2014年8月13日15時在深圳市福田區紅荔西路8007號土地房產交易大廈3樓交易大廳,公開拍賣深圳海上運動基地暨航海運動學校經營權(以下簡稱拍賣標的)。現予公告。
一、拍賣標的基本情況
(一)基本情況:基地航校總佔地面積87306平方米,總建築面積27180平方米,港池用海面積95585平方米,平均水深4米,實際總投資3.66億元。其中,港池已辦理用海手續,海域使用權人為深圳市文體旅遊局,批准使用日期為2009年6月至2049年6月。海上運動基地建有208個小型船舶泊位、10個中型船舶位以及配套管理用房10480平方米;航海運動學校建有16700平方米的教學設施及運動員食宿設施,最大設計容量為學生300人,試訓運動員100人。
(二)拍賣標的內容:成交後,競得人取得拍賣標的,負責基地航校資產運營管理及辦學。競得人應當按照《深圳海上運動基地暨航海運動學校資產運營管理及辦學項目委託運營協議》(以下簡稱《委託運營協議》)要求,成立項目公司,在規定期限和範圍內,圍繞建設「航海之都」的目標,按國際化標準,高水平建設航海基地和航海學校。競得人成立的項目公司自行承擔風險和費用,對基地航校進行維修改造,向社會提供辦學服務,提供訓練場地設施及服務,承辦賽事,舉辦青少年公益性活動,依照法律法規的規定報批後開展商業運營。委託運營期滿後,項目公司將基地和航校的全部資產按期滿時現狀,完好、無償移交給深圳市人民政府或其指定的部門,並保證能正常運行。
(三)委託運營範圍:基地航校建成範圍內。
(四)委託運營期限:自簽訂《委託運營協議》之日起20年。
二、拍賣條件
(一)拍賣標的按現狀拍賣。競買申請人在提交競買申請前,應當現場踏勘拍賣標的,充分了解拍賣標的現狀、可能存在的瑕疵和未來的運營風險,並謹慎考慮是否參與競買;有異議或疑問的,應在競買申請前向大鵬新區管委會書面提出。競買申請人一旦提交競買申請,即視為已現場踏勘,認可拍賣標的的現狀、可能存在的所有瑕疵和未來的運營風險;成交後,不得以拍賣標的的現狀、瑕疵或運營風險的異議對成交結果及所簽署的相關文件提出任何抗辯。
(二)競得人須在成交後即時簽訂《成交確認書》,五日內簽訂《委託運營協議》,並自簽訂《委託運營協議》之日起30日內支付不低於成交總價50%的價款,餘款從委託運營期第11年開始,分10年,每年按成交價款5%的比例向大鵬新區管委會支付。
(三)自簽訂《委託運營協議》之日起3個月內,競得人應在拍賣標的所在地(深圳市大鵬新區)註冊成立控股子公司(競得人所佔股份不得低於51%,以下簡稱項目公司),並通過簽訂《委託運營協議》補充協議方式,將拍賣標的物在委託運營期限內轉授予該項目公司。
(四)在委託運營期內,基地航校所有權(包括但不限於基地航校土地使用權及其地上建築物所有權、海域使用權及其用海設施所有權)屬深圳市人民政府或其授權單位,競得人或其項目公司(以下統稱競得人)享有對基地航校的使用和收益權。
在委託運營期內,競得人不得變更基地航校的土地和海域用途;未經深圳市人民政府或其授權單位同意,不得將項目轉包或分包給任何第三人,不得將基地航校經營權轉讓、出租、質押或以其他的擔保方式提供給任何第三人。
在委託運營期內,競得人可以按照《委託營運協議》的規定,負責基地航校運營、維護,對基地航校的項目設施進行維護、更新、重置,自行承擔費用、責任和風險。
委託運營期屆滿,競得人應將項目設施完好、無償移交給深圳市人民政府或其指定機構,並保證其在移交時處於正常運營及使用狀態。
(五)委託運營期內,競得人需確保基地航校創辦為航海類中專或中專以上的「國有民辦」學歷教育機構。學校招生規模要求達到每年新招生50人。辦學期限為20年。
(六)委託運營期間,競得人每年全年無償為大鵬新區和市體育運動學校帆船帆板隊的領隊、專業教練員、運動員,總計約50人,提供宿舍、相關的訓練場地和訓練設施設備,以及10個泊位的使用。
委託運營期間,競得人每年免費提供部分場地設施供政府舉辦公益性海上運動活動,具體包括青少年航海運動夏令營和冬令營各1期,每期7天,每期人數200人,全年共計2期400人,總時間14天。活動期間需提供20個泊位和相應的泊位配套服務、1間會議室以及相應的淋浴設施
委託運營期間,競得人每年免費提供場地設施設備承辦國家級和廣東省水上運動賽事各1次,其中,國家級賽事時間12天,人員規模200-250人,廣東省賽事時間12天,人員規模200-250人。
(七)拍賣標的內容、競得人權利義務等,具體以《委託運營協議》為准。
三、競買申請人資格要求
中華人民共和國境內外註冊的企業或組織,均可獨立或聯合競買本拍賣標的。
四、競買申請程式

(二)遞交書面競買申請

五、確定競得人的辦法
本次拍賣採用有底價的增價拍賣方式,價高者得,起拍價以拍賣主持人現場宣佈為准。

Announcement for Auction
of Management Rights of Shenzhen Sea Sports Base and Voyage Sports School
This is to announce that the Management Committee of Dapeng New District, Shenzhen (hereinafter referred to as the "Management Committee of Dapeng New District") will entrust Shenzhen Land and Real Estate Exchange Center (hereinafter referred to as the "Exchange Center") to sell the management rights of Shenzhen Sea Sports Base and Voyage Sport School (hereinater referred to as the "Auction Target") by public auction upon the approval of Shenzhen Municipal People's Government at 15:00 on August 13, 2014 as scheduled in the Exchange Hall at Floor 3, Land Real Estate Trading Building, No.8007 Hongli West Road, Futian District, Shenzhen, in order to explore the operation and management mode of market-oriented school-running, give full play to the use benefit of state assets, and realize the functions of Shenzhen Sea Sports Base and Sports School (hereinafter referred to as the "Base and Voyage School") in academic education of marine sports and training as well as providing marine sports services for cities.
I. Basic Information of Auction Target
(1) Basic Information: the Base and Voyage School has a total area of 87,306m2, a total floor area of 27,180m2, and sea-use area of harbor basin of 95,585m2, an average depth of 4m, and a total actual investment of RMB 366 million. And, the sea-use procedures has been handled for the harbor basin, and the owner of the use right of sea area is Shenzhen Municipal Bureau of Culture Sports and Tourism, and the approved use period is from June 2009 to June 2049. The Sea Sports Base has 208 small ship berths, 10 medium ship berths and matched management rooms with an area of 10,480m2; the Voyage Sports School has 16,700m2 of teaching facilities and accommodation facilities for sportsmen with the maximum design capacity of 300 students and 100 trial sportsmen.
(2) Contents of Auction Target: after the auction is completed, the Winner obtains the Auction Target and is responsible for the asset operation & management, and running of Base and Voyage School. The Winner shall establish a Project Company in accordance with the requirements of the Entrusting Operation Agreement for Asset Operation & Management and School-running Project of Shenzhen Sea Sports Base and Voyage Sports School (hereinafter referred to as the "Entrusting Operation Agreement") and construct the Sea Base and Voyage School with a high level within the prescribed time and range by focusing on building the goal of "City of Sail" and in accordance with the international standards. The Project Company established by the Winner shall maintain and transform the Base and Voyage School at its own risk and cost, provide school-running service, training site facilities and service to the society, undertake sports events, hold youth public welfare activities, and conduct commercial operation after approval according to laws and regulations. After the Entrusting Operation Period expires, the Project Company shall transfer all the assets of the Base and Voyage School as they stand completely and freely to Shenzhen Municipal People's Government or its designated departments, and ensure the assets operate normally.
(3) Scope of Entrusting Operation: within the construction area of Base and Voyage School.
(4) Period of Entrusting Operation: 20 years from the signing date of Entrusting Operation Agreement
II. Auction Conditions
(1) The Auction Target shall be auctioned as its stands. The bidding applicants shall survey the Auction Target on site, fully understand the status quo, possible defects, future operation risks of the Auction Target, and cautiously consider whether to participate in the bidding before submitting a bidding application; in case of any objections or questions, they shall be proposed to the Management Committee of Dapeng New District before the bidding application. Once submitting a bidding application, bidding applicants shall be deemed to have surveyed the Auction Target on site and accept the status quo, all possible defects, future operation risks of the Auction Target; after the auction is completed, bidding applicants shall not raise a plea against the auction results and relevant signed documents on the excuse of objections on the status quo, defects or operation risks of the Auction Target.
(2) The Winner shall sign the Sales Confirmation immediately after completion of the auction, and the Entrusting Operation Agreement within five days, and pay a price no less than 50% of the total ultimate auction price within 30 days since the signing date of the Entrusting Operation Agreement, and pay the rest amount within 10 years in a proportion of 5% annually since the 11th year of the Entrusting Operation Period to Management Committee of Dapeng New District.
(3) Within 3 months since the signing date of the Entrusting Operation Agreement, the Winner shall register and establish a holding subsidiary (the Winner shall occupy no less than 51% of the shares, hereinafter referred to as the "Project Company") in the place where the Auction Target locates (Dapeng New District, Shenzhen) and grant the Auction Target to the Project Company during the Entrusting Operation Period through signing a Supplementary Agreement to the Entrusting Operation Agreement.
(4) Within the Entrusting Operation Period, the ownership of the Base and Voyage School (including but not limited to the land use right of Base and Voyage School and the ownership of its above-ground structures, use right of sea area and ownership of sea use facilities) shall be owned by Shenzhen Municipal People's Government or its authorized units, and the Winner or its Project Company (collectively referred to as the "Winner") shall enjoy the use and earning rights of the Base and Voyage School.
Within the Entrusting Operation Period, the Winner shall not change functions of the land and sea area of Base and Voyage School; without the consent of Shenzhen Municipal People's Government or its authorized unit, the Winner shall not contract or subcontract the Project to any third party, or provide the management rights of Base and Voyage School to any third party by transfer, lease, pledge or other guarantee types.
Within the Entrusting Operation Period, the Winner may be responsible for the operation and maintenance of Base and Voyage School, and maintenance, update and rearrangement of the project facilities of Base and Voyage School at its own cost, responsibilities and risks according to the stipulations of the Entrusting Operation Agreement.
When the Entrusting Operation Period expires, the Winner shall transfer the project facilities completely and freely to Shenzhen Municipal People's Government or its designated institutions, and ensure that the project facilities are in a normal operation and running condition.
(5) Within the Entrusting Operation Period, the Winner shall ensure that a "State-owned and Civilian-run" academic education institution of a navigational specialized middle school or higher. The enrollment scale of the School shall meet the requirements of enrollment of 50 students annually. The running period of the School shall be 20 years.
(6) Within the Entrusting Operation Period, the Winner shall annually provide dormitories, related training fields, training facilities & equipment, and 8 berths for free all the year round to totally about 50 persons including the group leader, professional coaches and sportsmen of the Sailing Windsurfing Team of Management Committee of Dapeng New District and Shenzhen Sports School for use.
Within the Entrusting Operation Period, the Winner shall provide part of site facilities to the government to hold public welfare sea sports activities, including 1 period of youth sailing sports summer camp and winter camp, with each period of 7 days and 200 persons. And it will be 2 periods including 400 persons and 14 days. During the activity period, the Winner shall provide 20 berths and corresponding berth supporting services, 1 conference room and corresponding shower facilities.
Within the Entrusting Operation Period, the Winner shall provide site facilities & equipment to hold state-level and Guangdong water sports events once a year for free. And the state-level sports events shall last 12 days and have 200-250 persons, and the Guangdong sports events shall last 12 days and have 200-250 persons.
(7) The contents of Auction Target and rights and obligations of the Winner, etc. shall be subject to the Entrusting Operation Agreement.
III. Qualification Requirements of Bidding Applicants
All the registered enterprises or organizations inside and outside of the People's Republic of China may independently or jointly participate in the auction of the Auction Target.
IV. Procedures of Bidding Application
(1) Payment of Performance Bond

(2) Submission of Written Bidding Application
